Terms & Conditions of Service

Official binding master SaaS agreement governing vendor subscriptions, API usage, cashier shift audit rules, and property management platform operations.

1. Acceptance of Terms & Master SaaS Scope

By registering a vendor workspace, activating a business account, or accessing PixelGo HMS software, property owners ("Vendors"), hotel general managers, restaurant operators, staff members, and authorized administrators agree to be legally bound by these Terms of Service. PixelGo HMS provides multi-vendor Software-as-a-Service (SaaS) tools for hotel front-desk management, restaurant point-of-sale (POS), kitchen order ticketing (KOT), bar liquor auditing, and banquet event organization.

2. Vendor Account Responsibilities & Credential Security

Vendors are solely responsible for maintaining the confidentiality of staff login credentials, supervisor PIN codes, and API access tokens. Any action, transaction, or guest folio modification initiated under an active staff account is deemed authorized by the Vendor. PixelGo HMS enforces shift balancing audit logs to record every user action across terminals.

3. Billing, Subscription Cycles & GST Invoicing

Subscriptions are billed on a recurring monthly or annual basis in Indian Rupees (INR). Tax invoices are generated automatically in compliance with Indian Goods and Services Tax (GST) rules using SAC Code 998313 (Information Technology Software Services). Invoices include applicable 18% GST (CGST 9% + SGST 9% or IGST 18%). Failure to settle subscription renewal invoices within a 7-day grace window will result in temporary workspace restriction.

4. Data Sovereignty & Multi-Tenant Isolation Guarantee

PixelGo HMS guarantees 100% database-level multi-tenant isolation across all vendor workspaces. Data generated by Property A is strictly isolated, encrypted, and inaccessible to Property B under any technical or operational circumstances. All data is hosted on Tier-4 cloud infrastructure located within the sovereign territory of India.

5. System Availability & 99.99% Uptime SLA

PixelGo HMS targets a 99.99% cloud service availability SLA. Scheduled system maintenance and software upgrades are conducted exclusively during low-traffic windows (02:00 AM – 04:00 AM IST) with advance dashboard notifications. Qualifying service outages exceeding SLA thresholds trigger pro-rata subscription credits.

6. Cashier Shift Audit & POS Financial Integrity

Vendors agree to enforce daily shift close and cashier drawer balancing protocols within the POS module. PixelGo HMS records calculated cash, card, UPI, and room folio postings. PixelGo HMS holds zero financial liability for cash drawer discrepancies resulting from unrecorded manual offline transactions handled outside the system.

7. Third-Party Integrations & API Usage

PixelGo HMS integrates third-party services including WhatsApp Business API for digital receipts, payment gateways (Razorpay, Stripe) for online settlements, thermal printer drivers, and OTA channel managers. Usage of third-party APIs is subject to respective provider terms of service.

8. Intellectual Property Rights

All software code, database schemas, user interface designs, logos, documentation, and proprietary algorithms remain the exclusive intellectual property of PixelGo Software Technologies. Vendors receive a limited, revocable, non-exclusive license to use the platform during active subscription periods.

9. Limitation of Liability & Indemnification

To the maximum extent permitted by law, PixelGo HMS's cumulative liability for any claim arising out of these terms shall not exceed the total subscription fees paid by the Vendor in the three (3) months preceding the event. Vendors agree to indemnify PixelGo HMS against third-party claims arising from unauthorized guest data disclosure or Vendor staff negligence.

10. Account Termination & Data Export Rights

Vendors may terminate their subscription at any time via the billing portal. Upon account closure, Vendors retain the unconditional right to export complete historical booking folios, financial ledgers, and guest logs in CSV or JSON format within thirty (30) calendar days prior to permanent data purging.

11. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, claim, or controversy shall be subject to the exclusive jurisdiction of the competent courts in India.
